• You may not use Yotru for unlawful, fraudulent, or abusive purposes.
• All disputes are subject to binding arbitration in Ontario, Canada only.
• No class actions, no jury trials.
• We can change these Terms anytime. Continued use means acceptance.

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of Yotru's website, applications, software, and services (collectively, the "Services"). Yotru is operated by ShoutEx based in Waterloo, Ontario, Canada (collectively referred to as 'Yotru', 'we', 'our', or 'us').

By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services.

2. Eligibility

You must be at least 18 years old or have the consent of a legal guardian to use our Services.

If you use the Services on behalf of a company or entity, you confirm you have authority to bind that entity to these Terms.

The Services are intended solely for users who are at least 18 years old or the legal age of majority in their jurisdiction, whichever is higher. By accessing or using the Services, you represent and warrant that you meet this age requirement.

We do not permit any use of the Services by individuals under this age, even with parental or guardian consent. If you do not meet these requirements, you must not access or use the Services.

3. User License and Restrictions

We grant you a limited, personal, non-transferable, non-exclusive license to use our Services solely for your personal job search.

You may not:

• Reuse, redistribute, sublicense, or exploit any Yotru-generated content commercially or publicly.
• Reverse engineer, copy, scrape, or create derivative works of our software or Services.
• Use the Services for unlawful, fraudulent, misleading, harassing, or abusive purposes.
• Upload data or resumes containing false, misleading, or offensive information.

We may suspend or terminate your account at any time, without notice, if you violate these Terms.

4. User Responsibility and Account Use

You are solely responsible for all activity under your account, even if done by someone else using your credentials.

We are not obligated to verify user identity at login.

5. AI Content Disclaimer, Bias, Input Logs & User Responsibility

5.1 Nature of AI Outputs

Yotru provides AI-assisted tools to help you generate resumes, cover letters, profiles, and other career-related materials. By using these tools, you acknowledge and agree that:

• AI-generated content may contain bias, inaccuracies, omissions, or errors.
• No AI system is entirely free of bias, and Yotru makes no guarantee that its outputs are unbiased, fair, or suitable for any particular use.
• You are solely responsible for reviewing, editing, and validating all AI-generated content before using or submitting it.

5.2 No Guarantee of Results

Yotru provides tools only. We do not guarantee interviews, hiring, job placement, career advancement, or any specific outcome from using the Services. You acknowledge that any success or results depend on factors beyond our control, including your qualifications, effort, and external conditions.

5.3 User Responsibility for Inputs

You are fully responsible for the data, prompts, and documents you provide. You must not submit sensitive, confidential, or unlawful information unless necessary for resume or career material creation. You agree that Yotru is not liable for how your inputs are used by third parties once you share or publish them.

5.4 Collection and Review of Inputs

To provide and improve our Services, Yotru may collect and store user inputs, including prompts, chat messages, uploaded documents, and generation logs. These may be accessed internally by authorized personnel under strict controls for the purposes of:

• monitoring quality,
• detecting misuse,
• improving performance,
• training features, and
• resolving technical issues.

Any review or processing of user inputs will be conducted in compliance with our Privacy Policy and applicable data protection laws.

5.5 Limitation of Liability for AI Content

You remain fully liable for any consequences arising from the use or misuse of AI-generated content, including errors you fail to correct. Yotru disclaims all liability for damages or losses resulting from reliance on AI-generated materials.

5.6 ATS Compliance Disclaimer

Yotru does not guarantee that resumes, cover letters, or other documents created with our Services will be fully compliant with Applicant Tracking Systems (ATS) or other automated recruiting software. Formatting, parsing, and keyword recognition vary widely across employers and systems. By using Yotru, you acknowledge that you assume the risks of potential parsing issues or reduced visibility in ATS workflows. You remain solely responsible for reviewing, adjusting, and ensuring that your final documents meet the requirements of any specific job application or system.

6. No Guarantee of Employment

Yotru provides tools only. We do not guarantee interviews, hiring, career success, or any specific outcome from using the Services.

7. User-Submitted Data, Storage & Data Usage

7.1 User-Submitted Data & Indemnification

We do not verify or fact-check user data. You are fully liable, and you agree to indemnify Yotru, ShoutEx, and our partners, from and against any claims, damages, or losses arising from your use, data, or content, including any false, misleading, or offensive information you upload or submit.

7.2 Storage of Uploaded Documents & Use of Data for System Improvement

By uploading resumes, cover letters, profiles, or other documents ("Uploaded Documents") to Yotru, you acknowledge and agree that:

• We may store your Uploaded Documents for as long as needed to provide the Services, including archival, backup, legal, or service continuity purposes, or until you delete your account or request deletion (subject to our Privacy Policy and applicable laws).
• We may use aggregated, anonymized or pseudonymized data derived from those Uploaded Documents, as well as from usage patterns, user interactions, and metadata (but not identifiable personal information unless you expressly consent), to generate statistics, analyze trends, train internal models or features, improve system performance, enhance user experience, develop new features, and otherwise improve and evolve the Services.
• We will not share your Uploaded Documents or personally identifiable data publicly without your explicit consent.
• All processing of Uploaded Documents will be governed by our Privacy Policy and applicable data protection laws (such as GDPR, CCPA, PIPEDA, or others depending on your jurisdiction).
• You may request deletion of your Uploaded Documents or data as set out in our Privacy Policy, and we will comply subject to legal obligations.

7.3 Other Provisions

Any rights and obligations set out in Sections 7.1 and 7.2 are subject to the rest of these Terms, including limitations of liability, acceptable use policies, and the Privacy Policy.

8. Business Partner Data

If you opt to share resumes or data with third-party recruiters or employers:

• Yotru acts only as an intermediary.
• We have no liability for outcomes, communications, or actions by such partners.

9. Acceptable Use Policy

You agree not to:

• Harass, impersonate, or defraud others.
• Use Yotru for spamming, phishing, or distributing malware.
• Scrape, crawl, or mine data from our Services.
• Circumvent or interfere with security or authentication features.
• Engage in unauthorized access or overburden our infrastructure.

We may report misuse to law enforcement.

10. Feedback & User Contributions

We welcome your feedback, suggestions, and any content you submit while using our Services.

By submitting any material — including feedback, ideas, prompts, resumes, cover letters, chat messages, or other generated or input content — you grant Yotru and ShoutEx a worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, modify, distribute, and adapt such material for the purpose of improving, operating, and promoting the Services.

You agree that:

• We are not obligated to compensate you or acknowledge your contributions.
• You retain ownership of your content, but we have the right to use it for system improvement, analysis, and feature development.
• Submitted content must comply with our Acceptable Use Policy and must not infringe on third-party rights.
• We may, but are not obligated to, monitor or moderate user submissions. If you believe your content has been used in a way that violates your rights, please contact us at support@yotru.com.

11. Changes to Terms & Services

We may modify these Terms and the Services at any time without notice.

Continued use after changes means you accept them.

12. Service Availability & Right to Discontinue

We may modify, suspend, or discontinue the Services at any time, without notice or liability.

13. Disclaimer of Warranties

All Services are provided "as is" and "as available," without warranties of any kind, including but not limited to:

• Merchantability, fitness for a particular purpose, non-infringement, accuracy, or uptime.
• We do not guarantee Services will be error-free, uninterrupted, or meet your needs.

14. Limitation of Liability

To the fullest extent permitted by law:

• Our maximum liability is capped at the total fees you paid in the last 3 months.
• We are not liable for indirect, incidental, punitive, or consequential damages.

15. Governing Law & Arbitration

These Terms are governed by the laws of Ontario, Canada.

All disputes must be resolved exclusively by binding arbitration in Ontario, under the Arbitration Act of Ontario.

No class actions, no representative actions, no jury trials.

16. Waiver of Class Action Claims

You waive any right to participate in class or collective actions.

All claims must be brought on an individual basis only.

17. Electronic Communications

By using our Services, you consent to receive notices and communications electronically (including via email or your account dashboard).

These meet any legal requirements for written notices.

18. Third Party Services & Links

We are not responsible for third-party websites, services, or integrations, and disclaim all liability for their actions, content, or outcomes.

19. Ownership & Intellectual Property

All rights in our Services and content are owned by Yotru, and ShoutEx.

Your use does not grant you any rights, title, or ownership.

20. Severability & No Waiver

If any part of these Terms is invalid, the remainder will continue in effect.

No failure to enforce our rights shall be deemed a waiver.

21. No Third Party Beneficiaries

These Terms are solely between you and Yotru. No other party may enforce them.
